License Agreement - Civil Companion Suit

This document contains two separate End-User License Agreements (EULA). Please refer to the agreement that corresponds to the version of the software you have acquired.

Part 1: Civil Companion Suite – FREE VERSION

End-User License Agreement (EULA)

This EULA is a legal agreement between you (either an individual or a single entity) and Civil Companion Suite (“the Licensor”) for the software product “Civil Companion Suite – Free Version” (“the Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. Grant of License

The Licensor grants you a non-exclusive, non-transferable, royalty-free license to install and use the Software on a single computer for your personal or internal business purposes. The Free Version is provided for evaluation and limited use.

2. Restrictions

You are expressly prohibited from:

a) Selling, renting, leasing, sublicensing, or otherwise commercially exploiting the Software.

b) Reverse engineering, de-compiling, or disassembling the Software.

c) Modifying, adapting, or creating derivative works based on the Software.

d) Removing any copyright, trademark, or other proprietary notices from the Software.

3. Intellectual Property

The Software is owned by the Licensor and is protected by copyright laws and international copyright treaties. This license is not a sale of the Software, and you do not acquire any rights to the Software except as expressly granted in this Agreement.

4. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

5. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Professional Judgment

The Software is an engineering tool intended to assist qualified professionals. It is not a substitute for independent professional engineering judgment, design, or analysis. You are solely responsible for verifying the accuracy and applicability of any output generated by the Software and for the final design, which must be reviewed and sealed by a qualified professional engineer in accordance with applicable laws and regulations.

7. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice from the Licensor if you fail to comply with any term(s) of this license. Upon termination, you shall cease all use of the Software and destroy all copies of the Software.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Israel.

Part 2: Civil Companion Suite – PROFESSIONAL (PRO) VERSION

This EULA is a legal agreement between you (either an individual or a single entity) and Civil Companion Suite (“the Licensor”) for the software product “Civil Companion Suite – Professional (Pro) Version” (“the Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. Grant of License

Subject to your payment of the applicable license fees and your compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable license to install and use the Software on a single computer for your personal or internal business purposes. The license is granted to a single user and activated via a provided license key.

2. Restrictions

You are expressly prohibited from:

a) Sharing, distributing, or transferring your license key to any other individual or entity.

b) Selling, renting, leasing, or sublicensing the Software.

c) Reverse engineering, de-compiling, or disassembling the Software.

d) Modifying, adapting, or creating derivative works based on the Software.

e) Removing any copyright, trademark, or other proprietary notices from the Software.
